4. No Financial Advice; No Investment Recommendations
Rug Munch Media LLC is not a registered investment adviser, broker-dealer, exchange, money services business, or any entity licensed under the Investment Advisers Act of 1940, the Securities Exchange Act of 1934, the Bank Secrecy Act, or any state securities or money transmission law.
Nothing on our websites, bots, APIs, software, blog posts, social channels, or other communications constitutes:
- Financial, investment, legal, tax, or accounting advice or recommendations
- An offer to sell, or a solicitation of an offer to buy, any security, token, or digital asset
- A guarantee of token safety, project legitimacy, or investment outcomes
- Endorsement, certification, or validation of any cryptocurrency, token, or project
RMI risk scores are algorithmic assessments based on publicly available on-chain data and heuristics. They are not guarantees, warranties, or predictions. A “low risk” score does not mean a token is safe. A “high risk” score does not mean a token is fraudulent. Scoring methodology may change without notice. Always conduct your own independent research and consult a licensed financial adviser before making investment decisions.
5. Cryptocurrency and Digital Asset Risks
Cryptocurrency and digital assets are subject to extreme volatility, regulatory uncertainty, and unique risks including but not limited to:
- Total loss of value — digital assets can lose 100% of their value
- Smart contract failures — bugs, exploits, or vulnerabilities in third-party contracts
- Regulatory action — government agencies may restrict, ban, or penalize cryptocurrency activities
- Exchange failures — exchanges may halt withdrawals, freeze accounts, or collapse
- Bridge exploits — cross-chain bridges are frequent targets of attacks
- Rug pulls — token creators may abandon projects or drain liquidity
- Phishing and social engineering — bad actors may impersonate projects or team members
You acknowledge that you are solely responsible for any financial decisions you make and for any losses you incur. Rug Munch Media LLC is not liable for any financial losses, regardless of whether you used our products to inform your decisions.
6. Smart Contract and Blockchain Disclaimer
Our products interact with blockchain networks and smart contracts that we do not control. We do not:
- Audit, certify, or guarantee the security of any smart contract
- Control the operation, availability, or consensus of any blockchain network
- Guarantee the accuracy, completeness, or timeliness of any on-chain data
- Warrant that any blockchain transaction will be confirmed, processed, or executed
Blockchain data may be delayed, incomplete, or inaccurate. Our products aggregate and analyze this data but cannot guarantee its correctness.
7. The $RMI Token — Specific Terms
Our websites describe a planned governance token, $RMI, and a committed 1:1 matching allocation for qualifying $CRM v1 and $cryptorugmunch holders. The following terms apply to all token-related content and any future token features:
- The token does not exist yet. $RMI has not been created, deployed, or distributed. It may never be. Any timeline, snapshot, or commitment described on our sites may be delayed, modified, or abandoned at our sole discretion, subject only to the stated intent of the airdrop commitment.
- Not an investment contract. Nothing on our sites is an offer to sell securities or an investment contract. $RMI is described as a governance token for a product stack. No holder or prospective holder should expect profits from the efforts of others, and we make no representation that any token will have monetary value, liquidity, or a secondary market.
- The airdrop is recognition, not compensation. The committed 1:1 matching allocation, if and when executed, is a discretionary recognition of prior community holders. It creates no creditor relationship, no equity interest in Rug Munch Media LLC, and no right to any company revenue except as may later be established through documented DAO governance.
- Your compliance is your responsibility. Digital asset regulation varies by jurisdiction. You are solely responsible for determining whether receiving, holding, or transferring any token is lawful in your jurisdiction, and for any tax reporting obligations. We may restrict token-related features by jurisdiction without notice.
- No custody. We do not and will not custody user funds or keys in connection with any token distribution. Claim mechanics, if any, will be documented publicly before execution.
- DAO governance. The stated end state is a Wyoming DAO LLC under W.S. § 17-31. Until that transition is complete, Rug Munch Media LLC remains a traditional Wyoming LLC, and governance statements on our sites describe intent, not present legal rights.
- No liability for predecessor token collapse. $CRM (a Bags.FM creator coin) and $cryptorugmunch (a Zora token) are third-party tokens that were not created, issued, controlled, or endorsed by Rug Munch Media LLC. Their collapse, loss of value, delisting, or any other adverse outcome is not the responsibility of Rug Munch Media LLC. By accepting any $RMI airdrop allocation, you agree that you do not hold Rug Munch Media LLC, its members, managers, employees, or affiliates liable for any losses, claims, or damages related to $CRM, $cryptorugmunch, or any other predecessor token — and that the airdrop is a goodwill gesture of recognition, not compensation for any such losses. This waiver survives any termination of these Terms.
8. Software Disclaimer
ALL SOFTWARE PROVIDED BY RUG MUNCH MEDIA LLC IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
IN NO EVENT SHALL RUG MUNCH MEDIA LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
This disclaimer applies to the fullest extent permitted by applicable law, and is consistent with the disclaimer terms of the applicable open-source licenses (MIT, AGPL-3.0).
9. No Warranty on Hosted Services and Data
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR HOSTED SERVICES, WEBSITES, APIs, BOTS, AND ALL DATA AND CONTENT PROVIDED THROUGH THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA RETURNED WILL BE ACCURATE, COMPLETE, OR TIMELY.
10. Open Source Licensing
Unless otherwise noted in the applicable repository:
- Backend code is licensed under AGPL-3.0 (GNU Affero General Public License v3.0)
- Frontend and SDK code is licensed under MIT
- Documentation is licensed under MIT
You may use, modify, and distribute our software under the terms of these licenses, including for commercial purposes, subject to the applicable license conditions. Full license texts are available in each repository at git.rugmunch.io/RugMunchMedia.
Use of AGPL-3.0 software in a network service may trigger copyleft obligations. Consult legal counsel before incorporating our software into proprietary products.
11. Acceptable Use
You agree not to use our products to:
- Engage in any illegal activity under applicable law
- Harass, threaten, defraud, or deceive others
- Distribute malware, ransomware, or spam
- Attempt to gain unauthorized access to our systems or data
- Circumvent published rate limits or access controls
- Reverse engineer our infrastructure to replicate our hosted services at scale without authorization (open-source code itself remains freely available under its license)
- Impersonate Rug Munch Media LLC or its products
- Violate the intellectual property rights of any party
- Probe, scan, or test the vulnerability of our systems except under our security disclosure policy
We reserve the right to suspend or terminate hosted access for violations of this policy, with or without notice. Termination of hosted access does not affect your rights under open-source licenses to software you have already obtained.
12. API Usage, Rate Limits, and Payments
Access to our APIs is subject to rate limits published in our documentation. We may modify rate limits, require authentication or payment, suspend access for abuse, or discontinue endpoints with reasonable notice.
x402 pay-per-call
Some products use the x402 protocol for pay-per-call API access:
- Prices are stated per call before payment is requested
- You authorize payment in USDC or other supported tokens for each API call you initiate
- Payments settle on-chain and are irreversible; blockchain settlement is final
- We are not responsible for failed or duplicated payments caused by insufficient gas, network congestion, wallet misconfiguration, or user error
- Refunds are at our sole discretion except where required by law
- You are responsible for any taxes arising from your use of paid APIs
Telegram Stars
Premium tiers of RugMunchBot are paid through Telegram Stars. These payments are processed entirely by Telegram under Telegram’s own terms and payment policies. We do not receive or store your payment credentials, and disputes about Stars charges must be raised with Telegram.
13. User Content and Third-Party Content
Our products surface content from third parties and public protocols (social feeds, on-chain data, external APIs). We do not endorse, verify, or assume responsibility for third-party content. You access and rely on such content at your own risk. If you submit content to us (bug reports, community posts, pull requests), you grant us a perpetual, worldwide license to use it consistent with the applicable open-source license and our contribution process.
14. Scan Data and Community Scam Detection
When you submit a token address, wallet address, or other query to our products (e.g., via /scan, API calls, or the web interface), the on-chain data and risk indicators returned by that scan may be used to improve our scam detection models, including our crypto-native RAG (retrieval-augmented generation) system. This improvement benefits the entire community — better detection means better protection for everyone, not private gain for us.
What this means:
- On-chain patterns, not personal data. We extract risk indicators, contract patterns, and behavioral signals from public blockchain data. We do not extract or store your personal identity, Telegram user ID (beyond what is technically necessary to respond), or off-chain identity from scan queries.
- No private gain from your data. Scan-derived improvements to our detection models are shared with the community through better risk scores, public methodology documentation, and open-source code. We do not sell scan data to third parties.
- Consent. By submitting a scan query to our hosted services, you consent to the use of the resulting on-chain analysis for scam detection improvement as described here.
- Self-hosted alternative. If you prefer that your scan data not be used this way, you may self-host RMI or PryScraper under the applicable open-source license, in which case no data reaches our servers.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Rug Munch Media LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, cryptocurrency, keys, or goodwill
- Our total aggregate liability for any claim arising from these Terms or your use of our products shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100
- We are not liable for any failure or delay caused by factors beyond our reasonable control, including blockchain network failures, third-party API outages, sanctions or regulatory action, or force majeure events
16. Indemnification
You agree to indemnify, defend, and hold harmless Rug Munch Media LLC, its members, managers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of our products
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Your financial decisions, regardless of whether you used our products to inform them
17. Suspension, Termination, and Your Data
We may suspend or terminate your access to hosted services at any time, with or without cause or notice. Upon termination: your right to use hosted services ends immediately; your rights under open-source licenses to software already obtained survive; we have no obligation to retain, export, or return data you submitted through hosted services (we retain minimal data by design — see our Privacy Policy). Sections that by their nature should survive termination shall survive, including disclaimers, limitation of liability, indemnification, governing law, and the predecessor token liability waiver in Section 7.
18. Third-Party Services
Our products may interact with third-party services including blockchain networks, social media protocols, API providers, and payment infrastructure. We are not responsible for the availability, accuracy, or security of third-party services; actions taken by third-party providers; changes to third-party APIs, terms, or pricing; or loss of funds due to third-party smart contract failures.
19. Intellectual Property
- Code: Licensed under AGPL-3.0 (backend) or MIT (frontend, SDKs) — see each repository’s LICENSE file
- Documentation: Licensed under MIT
- Trademarks: Rug Munch Media™, RMI™, Rug Munch Intelligence™, DegenFeed™, PryScraper™, WalletPress™, RugMunchBot™, RugBrain™, RugCharts™, RugMaps™, $RMI™, and cryptorugmunch™ are trademarks of Rug Munch Media LLC. Unauthorized use is prohibited. Open-source licenses grant rights to code, not to trademarks.
- Logo: The Rug Munch Media logo is a protected trademark. Unauthorized commercial use is prohibited.
20. Governing Law, Venue, and Disputes
These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to conflict of law principles.
Any dispute arising from these Terms or your use of our products shall be resolved exclusively in the state or federal courts located in Laramie County, Wyoming, and you consent to the exclusive jurisdiction and venue of these courts. TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A TRIAL BY JURY AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION AGAINST THE COMPANY.
Any claim must be brought within twelve (12) months after the claim arises, or it is permanently barred, to the extent such shortening is enforceable under applicable law.
Wyoming’s digital asset legislation (W.S. § 34-29 et seq.) and DAO LLC legislation (W.S. § 17-31) provide part of the legal framework for our operations.
21. Export Compliance and Sanctions
You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. export restrictions or economic sanctions. You agree not to use our products in violation of applicable export control or sanctions laws, including U.S. regulations administered by OFAC and the Bureau of Industry and Security.
22. Electronic Communications
By using our products, you consent to receive communications from us electronically (email or on-site notices). Notices posted on this page with an updated effective date constitute notice for all purposes.
23. Changes to Terms
We may update these Terms at any time. Material changes will be posted on this page with an updated effective date. Continued use of our products after changes constitutes acceptance.
24. Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
25. Entire Agreement
These Terms, together with our Privacy Policy, our Security Policy, and any applicable open-source licenses, constitute the entire agreement between you and Rug Munch Media LLC regarding your use of our products.
